The undersigned hereby certifies that, as of the date hereof, he has received no answer,
objection, or other responsive pleading to the Fifth Monthly Fee Application of PJT Partners
LP as Investment Banker to the Debtors and Debtors-In-Possession for Allowance of
Compensation for Services Rendered and for the Reimbursement of All Actual and Necessary
Expenses Incurred for the Period of October 1, 2024 Through October 31, 2024 [Docket No. 815]
(the “Application”) filed on December 3, 2024.  Objections to the Application were to be filed and
served no later than December 26, 2024, at 4:00 p.m. (prevailing Eastern Time).  The undersigned
further certifies that he has reviewed the Court’s docket in these cases and no answer, objection,
or other responsive pleading to the Application appears thereon.

In accordance with the Order (I) Establishing Procedures for Interim Compensation and
Reimbursement of Expenses for Retained Professionals and (II) Granting Related Relief
[Docket No. 218], the Debtors are authorized to pay PJT Partners LP 80% of the fees, or
$140,000.00, and 100% of the expenses, or $82.21, requested in the Application upon the filing of
this certification and without the need for entry of a Court order approving the Application.
