objection, or other responsive pleading to the Fifth Monthly Fee Application of Kirkland & Ellis
LLP and Kirkland & Ellis International LLP, Attorneys for the Debtors and Debtors in Possession,
for the Period from October 1, 2024 Through and Including October 31, 2024 [Docket No. 823]
(the “Application”) filed on December 6, 2024.  Objections to the Application were to be filed and
served no later than December 27, 2024, at 4:00 p.m. (prevailing Eastern Time).  The undersigned
further certifies that he has reviewed the Court’s docket in these cases and no answer, objection,
or other responsive pleading to the Application appears thereon.

In accordance with the Order (I) Establishing Procedures for Interim Compensation and
Reimbursement of Expenses for Retained Professionals and (II) Granting Related Relief
[Docket No. 218], the Debtors are authorized to pay Kirkland & Ellis LLP 80% of the fees, or
$811,020.80, and 100% of the expenses, or $3,957.43, requested in the Application upon the filing
of this certification and without the need for entry of a Court order approving the Application.
