Appellant JPMorgan Chase Bank, N.A. ("JPMC") challenges the district court's entry of
summary judgment in favor of Chain Bridge Bank, N.A. on Chain Bridge's claim for
indemnification under Section 4A-211(f) of the Uniform Commercial Code. Chain Bridge (the
defendant in district court) was originally sued by Blue Flame Medical, LLC (as plaintiff) for
U.C.C. violations as well as state-law claims. Chain Bridge, as a third-party plaintiff, sued
JPMC as a third-party defendant for indemnification and, in the alternative, unjust enrichment.
JPMC and Chain Bridge filed cross-motions for summary judgment. The district court denied
JPMC's motion and granted Chain Bridge summary judgment on its indemnification claim,
subsequently entering final judgment for Chain Bridge. JPMC now appeals the final judgment
against it and the district court's grant of summary judgment on Chain Bridge's indemnification
claim.

Whether a bank is entitled to summary judgment for its indemnification claim under U.C.C. §
4A-211(f) where:
(1) cancellation of the payment order was not effectuated "by the sender";
(2) there was an "agreement of the parties" to return the payment order without
indemnification, or at least a genuine issue of material fact regarding such an agreement; and
(3) damages were caused "as a result" of events other than the cancellation, or at least there
was a genuine issue of material fact regarding such causation.
