aforesaid, Robert L. Starer, who, being duly sworn, stated to the best of his personal knowledge
and belief, that:
1. I am the Manager and CEO of Panthera Training, LLC ("Panthera Training").
Panthera Training was organized in 2018, under the laws of the Commonweaith of Virginia. It is
a wholly owned subsidiary of Historié Arms Corporation, a company owned by my wife and me.
Panthera Enterprises, LLC ("Debtor"). the debtor in this bankruptcy case, has no corporate or
member interest in Panthera Training. The two companies are not affiliated.

2. I have more than 50 years' experience working with challenged companies that
range from "Mom and Pop" shops to a NASDAQ publicly traded company. Among these are
several sporting goods stores and firearm training ranges. I also conduct firearms training.
3. The Debtor owns real property in Hardy County, West Virginia, which is the site
of a security opérations training faciiity ("Facilitv"). It offers tactical training for personnel
involved in military and non-military protective services, including govemment, military and law
enforcement personnel. The Faciiity includes, without limitation, tactical driving tracks, a
vehicle obstacle course, shooting ranges, a live fire shoot house, a mobile opérations urban
training combat town, an FAA approved helicopter landing pad, an armory and explosives vault,
multiple classrooms, on-site dining facilities and off-site lodging.
4. Prior to June 1, 2018, the Faciiity was operated by and training was provided by
Panthera Training Center, LLC ("PTC"), a subsidiary of the Debtor.
5. I was fîrst approached about becoming involved with PTC in April, 2018 by Bill
White, who was then the Director of Opérations for PTC. According to Mr. White, PTC was
experiencing financial and operational challenges.
6. Thereafter, I met with the Debtor's principals, James Punelli ("Punelli") and
Raymond Jones ("Jones"), on several occasions, who wanted me to invest in the Debtor. Punelli
and Jones represented to me that the business operated by PTC at the Faciiity was successful.
However, it was in a financial bind because they had diverted its cash flow to their efforts in
pursuing international opportunities through another subsidiary, Panthera Worldwide, LLC.
7. I declined to invest in the Debtor or PTC, in large part because over the course of
my conversations with Punelli and Jones, I became aware that the Debtor had accumulated over
$21 million in debt.

8. However, I proposed to form a new company, Panthera Training, LLC, which
wouid lease the real property, along with the buildings, structures and other improvements and
appurtenances thereon, where the Facility was located and operate the Facility, i.e., provide the
training the Debtor and PTC were obligated to perform under their contracts.
9. In June of 2018, Panthera Training entered into the following three agreements
with the Debtor, copies of which are attached to this Affidavit:
• Commercial Lease Agreement, dated June 1, 2018 ("2018 Commercial Lease"). pursuant
to which Panthera Training leased the Debtor's real property at 2506 Fish Pond Road in
Moorefield District, Old Fields, Hardy County, West Virginia ("Real Property"). attached
as Exhibit C-1.
• Agreement of assignment, effective as of June 1, 2018 ("2018 Assignment"). with both
the Debtor and PTC, pursuant to which ail contracts of the Debtor and PTC were
assigned to Panthera Training, attached as Exhibit C-2; and
• Subcontract, effective June 1, 2018 ("2018 Subcontract"). with the Debtor and its
subsidiaries Panthera Worldwide LLC and PTC, pursuant to which Panthera Training
agreed to perform the services, i.e., specialized tactical training, that the Debtor and its
subsidiaries had contracted to provide at the Facility, attached as Exhibit C-3.
10. PTC was no longer involved with opération of and training at the Facility after
June 1, 2018. The Debtor's sole obligation, per the terms of the 2018 Subcontract with Panthera
Training, is to send invoices for the work performed by Panthera Training and immediately
forward to Panthera Training 100% of ail payments received in payment of Panthera Training's
services provided under the 2018 Subcontract.

11. The Debtor currently bas just one contract with a govemment agency pursuant to
which Panthera Training provides specialized training at the Facility upon the agency's issuance
of task orders or call orders as provided in the contract. PTC bas two contracts with a branch of
the military pursuant to which Panthera Training provides training.
12. Prior to September 13, 2019, the day the Debtor filed its pétition in bankruptcy,
the Debtor and its principals never expressed any concerns with Panthera Training's performance
under the 2018 Commercial Lease and 2018 Subcontract. There was no notice, let alone any
mention, that the Debtor or PTC thought Panthera Training had defaulted under either the 2018
Commercial Lease or 2018 Subcontract.
13. Under the 2018 Subcontract, Panthera Training is required to pay to the Debtor
and PTC an "administrative" fee of $20,000 per month. At the instruction of Punelli and Jones,
each month Panthera Training wired $10,000 to the personal account of Raymond Jones and
$10,000 to an account named "Punelli Partners Limited Company," believed to be Punelli's
Personal account. Attached as Exhibit C-4 is a true and correct copy of wire mémos taken from
the files of Panthera Training, which reflect Panthera Training's payments to the personal
accounts of Punelli and Jones. The $20,000 payments were not made in June, July, August,
September or October, 2019. Jones agreed these payments should be kept by Panthera Training
to reimburse it for $100,000 owed to Panthera Training for training, but not paid in May 2019
because the Debtor's bank account was gamished.
14. The 2018 Commercial Lease requires Panthera Training to maintain the Real
Property "in good operating condition in order to facilitate training and in compliance with ail
applicable laws, ordinances, and régulations." Ex. C-1. The Debtor bas done nothing to maintain
the Real Property since at least June of 2018.

15. Panthera Training has made significant capital expenditures for maintenance of
the Real Property, in particular to implement soi! érosion mitigation measures to meet the
requirements of the West Virginia Department of Environmental Protection, and to address
deferred maintenance issues on the Real Property,
16. On November 1, 2018, Panthera Training requested the West Virginia Economie
Development Authority ("WVEDA") to enter into a Subordination, Non-Disturbance and
Attomment Agreement("SNDA"). A copy of the SNDA is attached to this Affidavit as Exhibit
C-5.
17. In May of 2018, in my initial meetings with Punelli and Jones, they provided
documents purporting to list the "current customers" who contracted for training at the Facility
and the income these customers would generate for the balance cf 2018 and into 2019. Attached
as Exhibit C-6 is the list of "current customers" given to me b} Punelli and Jones in May 2018,
redacted to maintain the confidential nature of the sensitive training conducted at the Facility.
18. Based on the information provided by Punelli and Jones 1 caused Panthera
Training to sign the agreements referenced in paragraph 9 ab(3ve and take over opérations at the
Facility.
19. After taking over opération of the Facility, 1 k^arned from Mr. White that seven of
the "current customers" listed in Exhibit C-6 in fact did not ;eceive any training at the Facility in
the four years prior to June 1, 2018. In addition, the projected revenues from six actual
customers was significantly overstated.
20. Based upon the expenses and estimated cash flow from customers provided by
Punelli and Jones in May 2018,1 prepared a pro forma that projected net cash flow/profit from

opération of the Facility to be $808,088 by December 2018. However, the Facility generated a
net loss for the period of June through December 2018 in the amount of approximately $295,000.
21. The différence between the expected profit and actual loss was not in the
expenses, which tracked very closely the estimated expenses provided to me by Punelli and
Jones in May 2018. Rather, the différence was in the actual versus projected revenues from non-
existing "current customers" and exaggerated représentations as to the dollar amount of actual
existing customer's contracts provided by Punelli and Jones.
22. Speciflcally, Panthera Training's total revenue from ail business in 2018 was
$1,291,097.53, which stands in stark contrast to the représentations of Punelli and Jones that
revenue from current customers alone would be $4,730,000.
23. After Panthera Training took over opération of the Facility in June 2018,1 leamed
that in May of 2018, the Debtor had given a third party, SMI, LLC ("SMI"). the assignable,
perpétuai right to clear eut ail of the timber from the Real Property where the Facility is located.
Removal of the timber would destroy any ability to conduct training at the Facility.
24. In September of 2018,1 leamed from a représentative of SMI that on June 15,
2018, Punelli and Jones sold ail of the Debtor's personal property to SMI. A copy of the Bill of
Sale provided to Panthera Training is attached as Exhibit C-7. The SMI représentative advised
Panthera Training that it would have to pay rent to SMI for use of the personal property for
which Panthera Training was already paying rent to the Debtor. The personal property sold to
SMI was not removed from the Facility ~ it is intégral to the training opération. Panthera
Training continues to use the personal property, but the terms of the Commercial Lease
Agreement with the Debtor have not changed.

25. In the course of the conversations with SMI, SMI provided a copy ofan Amended
Promissory Note, dated September 5, 2017 and a Security Agreement, dated September 23,
2015,copies of which are attached to this Affidavit as Exhibit C-8.

makes an assignment for benefit ofcreditors.
15- Reatedies Unoa DefimiL Upon the occurrence of uncured Event of Defoult,
Landlord may pursue any one or m(»e of the following remedies separately or concurrently,
without préjudice to any other remedy hereia provided or provided by law if;(i) the Event of
Defàult involves nonpayment ofrent and Tenant fails to cure sucb defoult within ten(10)days of
its due date, or if(ii) the Event of De&ult involves a defauh in perfonning any of the terms or
provisions ofthis Lease other than tl» payment ofrent and Tenant fails to cure such deiàuit within
diirty(30)business days after receipt of written notice ofdefàult from Landlord.
(a) Afrer the occurrence ofan Event ofDefiuiit, Landlord may in addition to ail
other rights and remedies specifîed hezein or which Landlord may bave at law or in equity; (i)
tenninate this Lease; (ii) without further demand iqx>n Tenant and without waiving any of
Landlord's other rights under this Lease, cure such Event of Defàult,the costs of which shall be
pay^le to Laruilord,on demand,as additional rent;(iii) proceed to enforce this Lease at law or in
eqoity;aod/or(iv)sue for damages including termination costs and attorney foes. In addition, widi
or widmut terminating this Lease, Landlord may re-enter, tcrminate Tenant's right of possession,
and take possession ofthe Property.
(b) Landlord may,but is not obligated to,relet the Property or any part thereof
for such tera(s)(which may extend beyond the date on wfaich the Tera ofthis Lease would have
expired but for Tenant's defàult) and on such tenus and conditions (which may include any

concessions or allowances granted by Landlord)as Landloid, in its sole and absolute discrétion,

coUect any rent upon such reletdng. Wheth^ or not tJiis Lease and/or Tenanfs li^ of
possession is tenninated,in wtole or in part, or any suit Is instituted. Tenant shall be liable for ail
Rental(mcluding, without limitation, additional rent)damages or other sums which may be dui*

obligations under this Lease or in placing the Property, or any part thereof.in rentable condition,
advertising expenses, and any concessions or allowances granted by Landlord) incuned by
Landlord in pursuit of its remedies hereunder and/or in recovering possession ofthe Property,or
any part thereof. and lenting the Property, or any part thereof, to others fiora time to time plus
other actual or consequential damages sufFered or incurred by Landlord on account of Tenanfs
default(including, but not Iimited to, iate fees or other charges incurred by Landlord under any
mortgage or prime lease).
(c) Tenant also shall be liable for additional damages which at Landlord's
élection shall be ehher one or a combinadon of the fbllowing:(i) an amount eqoal to the rent
(including, without limitation, Additional Rent) due or which would have become due fiom the
date of Tenanfs default through the remainder ofthe iniriai term ofthe Lease.
(d) Ail rights and remedies of Landlord set forth in this Lease are cumulative
and in addition to ail other rights and remedies available to Landlord atlaw or in equity,including
tfaose available as a resuit ofany antîcipalory breadi of this Lease. The exercise by Landlord of
any such right or remedy shall not preventthe concurrentor subséquent exercise ofany other right
or remedy. No delay or failure by Landlord to exercise or enforce any of Landlord's rights or
remedies or Tenanfs obligations shall constitute a waiver of any such rights, remedies or
obligations. Landlord sball not be deemed to have waived any de&ult by Tenant such
waiver expiessly is set forth in a written instrument signed by Landlord. If Landlord waives in
writing any de&ult by Tenant, sudh waiver riiall not be constnied as a waiver of any covenant,
condition or agreement set forth in this Lease except as to the spécifie dicumstances described in
such written waiver.
1 16. Effect of Tcrminatiop of Leaae, No termination ofthis Lease prior to the normal
; ending thereof, by lapse oftime or odierwise, shall affect Landlord's right to coUect cent for the
; period prior to termination thereof.
17. Morteagce's Rights. Tenanfs rights shall be subject to any bona fide mortgage,
deed of trust or other security interest which is now placed upon the Property or any persoiuil
property curcently located thereon. Tenant shall,ifrequested by Laïulloid, be obligated to execute
such reasonable documentation, such as estoppel certificates, subordination or attommmit
agreements.

Leafle-McmoniBdmn of leaae. This Lease, together with ail bther
juments signed or delivered in connection with this Lease,contain the complété understanding
bctween the partes conceming their subject matter and supersede ail prior leases, arrangements,
understandings, letters of intent, conversations and negotiations, whether oral or writteo, with
respect to their subject matter. The parties stipulate that there arc no represœtations with respect
to the subject matter of this Lease except those représentations specifically set forth in this Lease
and the documents signed or delivered in connection with this Lease.
Landlord shall cooperate with the exécution and recordation ofa mémorandum of
this Lease to be recorded in the Clerk's Office for Hardy County.
'9- Ameadmenta. This Lease may net be changed, waived, discharged or terminated,
in whole or in part, in any manner other than with the written consent ofail parties to this Lease.
20. Counterparta. This Lease may be executed in two(2)counterparts,each ofwhich
shall be deemed an original and which together shall constitute one and the same Lease.
21• Governing f.aw, This Lease shall be inteipreted and construed and govemed in
accordance with the laws ofthe State of West Virginia without giving effect to its conflict oflaw
principles.
22. Binding Lease. This Lease shall be bintting upon and shall inure to the benefit of
the paities to this Lease and their réactivé heirs, executors, successors and assigns.
23. Facsuaile Signatures. The parties agree that ail facsimile signatures shall be
deemed origjnal signatures in connection with this Lease and ail Schedules and lelated documents.
24. Compliance with Laws. Tenant shall, throughout the initial term and any
Extension Term comply with ail applicable laws,régulations and ordinances.
25. Non-Assumptiop of Business. Landlord acknowledges that there are significant
debts and expenses that either it or Panthère havc incuncd in connection witih Landlord's
ownership of the Pr<^rty or related to Panthera's opérations on the Property during the term of
the Panthera Lease. Landlord acknowledges and agréés that Tenant is not assuming any debts,
expenses, or obligations ofPanthera or I.andlord, other than as expressly set forth herein.
26. Tenant*!» «fTcrmination. Landlord acknowledges that Tenant is coimiùttuig
to lease the Property without having the of^rtunity to conduct the due diligence that Tenant would
ordinarily conduct if Landlord^s critical financial condition allowed time for such due diligence to
be conducted. Accoidingly, in the event Tenant discovers any condition or set of circumstances
related to the Property or the Landlord's finaaclat condition that the Tenant détermines in its sole
discrétion adversely impacts the Tenantes ability to conduct business on the Property, ihen Tenant
may immediately terminate this Lease without penalty, provided only that the Base Rem and
Additional Rent shall be paid pro-rata through date ofteimination.
